    Description: Debt finance raised from corporate insiders has attracted the attention of legal scholars over the past several years. Such an interest comes as no surprise. The variety of legal treatments reserved for insider loans across Europe, the United States and in other jurisdictions attests to an intriguing absence of any regulatory uniformity despite similar financing patterns. After reviewing the literature on the benefits and costs of inside debt financing and illustrating the diverse regulatory approaches adopted by prominent jurisdictions, the book reassesses the risk of opportunistic insider lending based on the state of a company’s finances. In doing so, the book sheds light on the net costs associated with financially sound firms issuing senior debt, whether secured or unsecured, to their insiders and, by contrast, the net benefits of allowing insiders to make senior unsecured loans to firms that are in or near insolvency. Following the reexamination of the benefits and costs of insider lending, novel requirements are recommended for an efficient and fair legal response to inside debt as a source of funding for both solvent firms and financially-distressed ones.

    Description: The 43rd UID conference, held in Genova, takes up the theme of ‘Dialogues’ as practice and debate on many fundamental topics in our social life, especially in these complex and not yet resolved times. The city of Genova offers the opportunity to ponder on the value of comparison and on the possibilities for the community, naturally focused on the aspects that concern us, as professors, researchers, disseminators of knowledge, or on all the possibile meanings of the discipline of representation and its dialogue with ‘others’, which we have broadly catalogued in three macro areas: History, Semiotics, Science / Technology. Therefore, “dialogue” as a profitable exchange based on a common language, without which it is impossible to comprehend and understand one another; and the graphic sign that connotes the conference is the precise transcription of this concept: the title ‘translated’ into signs, derived from the visual alphabet designed for the visual identity of the UID since 2017. There are many topics which refer to three macro sessions: - Witnessing (signs and history) - Communicating (signs and semiotics) - Experimenting (signs and sciences) Thanks to the different points of view, an exceptional resource of our disciplinary area, we want to try to outline the prevailing theoretical-operational synergies, the collaborative lines of an instrumental nature, the recent updates of the repertoires of images that attest and nourish the relations among representation, history, semiotics, sciences.

    Description: The book, within the framework of the activities of the H2020 MICADO (Migrant Integration Cockpits and Dashboards) project, brings together a set of contributions on contemporary housing, which represents one of the areas, although not the only one, in which migrants experience a condition of major vulnerability compared to the native population and that hinders their full integration in their new living context and full social participation. This contribution, organized in three thematic sessions (Public Housing Policies and Practices; Settlement Spaces and Mechanisms of Ethnic Residential Segregation; Housing and New Technologies), analyzes housing needs both from a theoretical point of view, to prompt insights into the distinctive features of the new housing issue, but also by reporting the findings of empirical research that can provide elements of evaluation and methodological indications on the topic.

In fact, the disciplines of drawing have always been confronted with themes and issues relating to transitions from one condition to another. The history of representation tells us of transformations, even epochal ones, relating to ‘drawing’, with all that such transitions entail: suffice it to think of the evolution of forms of representation, of instrumental apparatuses, of the mutability of supports, of the analogical-digital transition underway, of the new modes of communication on platforms, of the hypertrophic offer of images also on the net that confirms Guy Debord’s intuitions relating to the new spectacularisation of society. Similarly, representation triggers transitions in the prefiguration and communication of design, the anticipation and foreshadowing of future events.The challenges posed by the digital pose open questions whose scope can only be glimpsed, such as the relationship between drawing and the act of modelling, and the construction of new paradigms of visual language and communication. ‘Transitions’, almost implicitly, points to possible futures, the evolution of technique and the search for new modes of expression; at the same time, however, it can suggest silences and reflections in a process of connection between history, theory, criticism and construction.

The term, beyond its generic meaning of an intermediate stage in a process in which a condition changes from one state to another, has always been used in various fields, from music to geophysics. In fact, the disciplines of drawing have always been confronted with themes and issues relating to transitions from one condition to another. The history of representation tells us of transformations, even epochal ones, relating to ‘drawing’, with all that such transitions entail: suffice it to think of the evolution of forms of representation, of instrumental apparatuses, of the mutability of supports, of the analogical-digital transition underway, of the new modes of communication on platforms, of the hypertrophic offer of images also on the net that confirms Guy Debord’s intuitions relating to the new spectacularisation of society.     Description: Over the years, interest in data has always grown and, aware of their centrality, many institutions, both public and private, share their data to facilitate the work of all those who wish to use them to interpret phenomena. In the education field, the data produced by INVALSI undoubtedly have a leading role, both at a sample and census level. The availability of data on learning achievements and living conditions of students (the so-called “context data”), as well as on the professional and operational conditions of teachers and School Managers, collected through specific questionnaires, is a valuable source of information based on which it is possible not only to plan improvement interventions in the didactic field, but also to undertake stimulating paths of educational research. This volume hosts four research papers, presented within the III Seminar “INVALSI data: a research tool”, which took place in Bari from 26 to 28 October 2018. Thanks to the INVALSI data, the authors conducted interesting in-depth analysis of various aspects relating to the Italian education system.

    Description: "Increasing inequalities, social exclusion and poverty within the EU (although at a different scale between States) prove that the effectiveness of social rights falls behind their formal entitlements and their judicial enforceability. Beyond the classical way followed by legal studies in dealing with the issue, the focus would shift to experimental ways better able to cope with the current multifaceted implications of social exclusion, poverty and inequalities for the purpose of effective and improved social inclusion. Indeed, legacies stemming from developments at the European level (recent and less recent) are relevant not only for policy-makers and social scientists but for legal scholars too. These latter are expected to pick up and underline the main aspects of constitutional relevance implied in the process and steer it towards being constitutionally consistent. Against this background, our claim for an interdisciplinary dialogue with social sciences focuses on the constitutional implications underlying the use of social indicators within the European governance framework."

    Description: Moving from a broad socio-pragmatic perspective, this study analyses how speakers of different ages use a class of items and constructions that codify intentional vagueness in Italian. Items as un po’ ‘a bit’, tipo ‘kind’, diciamo ‘let us say’, così ‘so’, e cose del genere ‘and things like that’, or cosa ‘thing’ constitute a class of linguistically heterogeneous means that often function in conversation as vagueness markers, i.e. elements by which speakers signal that their knowledge or communication are somehow only tentative, approximate and vague. Their use does not depend on language systemic factors, but is the result of a, more or less conscious, choice of speakers to enhance conversation for different reasons, which include facilitating the flow of conversation, signifying a vague categorization, and, eventually, being polite. Operating at the pragmatic level, vagueness markers represent elements that are readily available to speakers’ choices and contribute to characterize individual and generational discourse styles. Through a corpus-based analysis of listeners’ phone-ins to a Milan radio station, this study investigates how vagueness markers are used by speakers of different ages in 1976 and in 2010, and how Italian discourse styles have evolved in the last forty years.

    Description: The volume, dedicated to the 44th International Conference of the Italian Union for Drawing, investigates the theme of ‘Transitions’, which particularly effectively represents our time and the current condition of the discipline of Drawing. The term, beyond its generic meaning of an intermediate stage in a process in which a condition changes from one state to another, has always been used in various fields, from music to geophysics. In fact, the disciplines of drawing have always been confronted with themes and issues relating to transitions from one condition to another. The history of representation tells us of transformations, even epochal ones, relating to ‘drawing’, with all that such transitions entail: suffice it to think of the evolution of forms of representation, of instrumental apparatuses, of the mutability of supports, of the analogical-digital transition underway, of the new modes of communication on platforms, of the hypertrophic offer of images also on the net that confirms Guy Debord’s intuitions relating to the new spectacularisation of society. Similarly, representation triggers transitions in the prefiguration and communication of design, the anticipation and foreshadowing of future events.The challenges posed by the digital pose open questions whose scope can only be glimpsed, such as the relationship between drawing and the act of modelling, and the construction of new paradigms of visual language and communication. ‘Transitions’, almost implicitly, points to possible futures, the evolution of technique and the search for new modes of expression; at the same time, however, it can suggest silences and reflections in a process of connection between history, theory, criticism and construction.

In fact, the disciplines of drawing have always been confronted with themes and issues relating to transitions from one condition to another. The history of representation tells us of transformations, even epochal ones, relating to ‘drawing’, with all that such transitions entail: suffice it to think of the evolution of forms of representation, of instrumental apparatuses, of the mutability of supports, of the analogical-digital transition underway, of the new modes of communication on platforms, of the hypertrophic offer of images also on the net that confirms Guy Debord’s intuitions relating to the new spectacularisation of society. The term, beyond its generic meaning of an intermediate stage in a process in which a condition changes from one state to another, has always been used in various fields, from music to geophysics. In fact, the disciplines of drawing have always been confronted with themes and issues relating to transitions from one condition to another. The history of representation tells us of transformations, even epochal ones, relating to ‘drawing’, with all that such transitions entail: suffice it to think of the evolution of forms of representation, of instrumental apparatuses, of the mutability of supports, of the analogical-digital transition underway, of the new modes of communication on platforms, of the hypertrophic offer of images also on the net that confirms Guy Debord’s intuitions relating to the new spectacularisation of society. Similarly, representation triggers transitions in the prefiguration and communication of design, the anticipation and foreshadowing of future events.The challenges posed by the digital pose open questions whose scope can only be glimpsed, such as the relationship between drawing and the act of modelling, and the construction of new paradigms of visual language and communication. ‘Transitions’, almost implicitly, points to possible futures, the evolution of technique and the search for new modes of expression; at the same time, however, it can suggest silences and reflections in a process of connection between history, theory, criticism and construction.

    Description: Cities are facing unprecedented challenges driven by different forces. On the one hand the ever-increasing effects of climate change are impacting on the urban microclimate and environmental balance, on the other one social, political and economic issues are influencing the living conditions, the accessibility to primary services and resources, as well as growth opportunities for the younger generations. The rise of a social awareness regarding these topics suggests how relevant scientific-based evidence could be and calls for additional efforts to bridge the gap between science and society, in order to stimulate a collective responsibility and due actions. The complex interaction among these factors inspired a forward-looking reflection not only on key drivers of change but also on possible future trends for research assuming an interdisciplinary and multiscale perspective. The book collects several experiences from different contributors working in many contexts and countries, but sharing the same projection to the future. Four key priorities are addressed: the resilience to climaterelated events and impacts, the energy issue with reference to both the advances at building level and the role of end users, the capacity to adapting components and systems to emerging needs, and the adoption of assessment and simulation tools for improving the design capacity within a circular system perspective. The book provides therefore insights, experiences, approaches to deal with current and especially with future transition processes which are expected to shape the cities of tomorrow. Thus, its ambition is not to provide definitive answers but to become a starting point for exploring promising research pathways for the next generation cities.

    Description: This book deals with re-manufacturing, recondition, reuse and repurpose considered as winning strategies for boosting regenerative circular economy in the building sector. It presents many of the outcomes of the research Re-NetTA (Re-manufacturing Networks for Tertiary Architectures). New organisational models and tools for re-manufacturing and re-using short life components coming from tertiary buildings renewal, funded in Italy by Fondazione Cariplo for the period 2019-2021. The field of interest of the book is the building sector, focusing on various categories of tertiary buildings, characterized by short term cycles of use. The book investigates the most promising strategies and organizational models to maintain over time the value of the environmental and economic resources integrated into manufactured products, once they have been removed from buildings, by extending their useful life and their usability with the lower possible consumption of other materials and energy and with the maximum containment of emissions into the environment. The text is articulated into three sections. Part I BACKGROUND introduces the current theoretical background and identifies key strategies about circular economy and re-manufacturing processes within the building sector, focusing on tertiary architectures. It is divided into three chapters. Part II PROMISING MODELS outlines, according to a proposed framework, a set of promising circular organizational models to facilitate re-manufacturing practices and their application to the different categories of the tertiary sectors: exhibition, office and retail. This part also reports the results of active dialogues and roundtables with several categories of operators, adopting a stakeholder perspective. Part III INSIGHTS provides some insights on the issue of re-manufacturing, analyzed from different perspectives with the aim of outlining a comprehensive overview of challenges and opportunities for the application of virtuous circular processes within building sector. Part III is organized in four key topics: A) Design for Re-manufacturing; B) Digital Transformation; C) Environmental Sustainability; D) Stakeholder Management, Regulations & Policies.

    Description: The volume, dedicated to the 44th International Conference of the Italian Union for Drawing, investigates the theme of ‘Transitions’, which particularly effectively represents our time and the current condition of the discipline of Drawing. The term, beyond its generic meaning of an intermediate stage in a process in which a condition changes from one state to another, has always been used in various fields, from music to geophysics. In fact, the disciplines of drawing have always been confronted with themes and issues relating to transitions from one condition to another. The history of representation tells us of transformations, even epochal ones, relating to ‘drawing’, with all that such transitions entail: suffice it to think of the evolution of forms of representation, of instrumental apparatuses, of the mutability of supports, of the analogical-digital transition underway, of the new modes of communication on platforms, of the hypertrophic offer of images also on the net that confirms Guy Debord’s intuitions relating to the new spectacularisation of society. Similarly, representation triggers transitions in the prefiguration and communication of design, the anticipation and foreshadowing of future events.The challenges posed by the digital pose open questions whose scope can only be glimpsed, such as the relationship between drawing and the act of modelling, and the construction of new paradigms of visual language and communication. ‘Transitions’, almost implicitly, points to possible futures, the evolution of technique and the search for new modes of expression; at the same time, however, it can suggest silences and reflections in a process of connection between history, theory, criticism and construction.

    Description: Which are the main research funds currently accessed by the Department of Design? What are the topics explored through them and which are the interconnections with the Department core research activities? Also, what are the research products delivered, the reached outcomes, and the expected impacts BY these research projects? The book synthesises the results of a qualitative analysis conducted over 32 research (out of 96) projects coordinated or participated in by the researchers of the Department in the timeframe 2014-mid 2021. The results of the analysis confirm the high-level attractiveness of the Department research profile on core topics such as design methodology, service design, and health. However, more interestingly, the analysis shows a significant variety of new topics and themes that emerge as new research questions for the Department, such as the role of design in public sector innovation, ethics, or policy design. The publication provides a snapshot of the topics addressed through the competitive research projects, the dimension of such strands of investigations, the typology and features of results achieved, as well as their relationship to the Department's basic research lines. The relationship and interplay among the outputs, outcomes, and impacts of the funded research is then elaborated in impact pathways, opening up reflections about the upcoming and future of Design research. The findings of the analysis aim to capture the present to understand future directions in terms of scientific, societal, technological and economic aspects. The volume addresses an academic audience from long terms researchers the field of design and other closely related scientific disciplinary fields at the national and international levels, to young researchers approaching the world of design research.

    Description: The volume, dedicated to the 44th International Conference of the Italian Union for Drawing, investigates the theme of ‘Transitions’, which particularly effectively represents our time and the current condition of the discipline of Drawing. The city of Genova offers the opportunity to ponder on the value of comparison and on the possibilities for the community, naturally focused on the aspects that concern us, as professors, researchers, disseminators of knowledge, or on all the possibile meanings of the discipline of representation and its dialogue with ‘others’, which we have broadly catalogued in three macro areas: History, Semiotics, Science / Technology. Therefore, “dialogue” as a profitable exchange based on a common language, without which it is impossible to comprehend and understand one another; and the graphic sign that connotes the conference is the precise transcription of this concept: the title ‘translated’ into signs, derived from the visual alphabet designed for the visual identity of the UID since 2017.
